Potash Ridge Announces Closing of Fully Subscribed Private Placement

TORONTO, Nov. 13, 2017 /CNW/ - Potash Ridge Corp. ("Potash Ridge" or the "Corporation") (TSX: PRK), a near term producer of premium fertilizer in North America, today announced the closing of the non-brokered private placement (the "Private Placement") originally announced on October 16, 2017.  

The Private Placement was for gross proceeds of $2,300,000. The Private Placement offering of units ("Units") was at a price of $0.10 per Unit. Each Unit is comprised of one common share in the capital of Potash Ridge (a "Common Share") and one-half of one Common Share purchase warrant, with each whole warrant ("Warrant") entitling the holder to purchase one Common Share at $0.20 for a period of three years form the date of closing. The Corporation issued 23,000,000 Common Shares and 11,500,000 Warrants upon closing.

In connection with the Private Placement, the Corporation has agreed to pay cash commissions totaling $105,900.

All securities issued in connection with the Private Placement are subject to restricted period that expires four months plus one day following the date of issuance. The Private Placement is subject to requisite regulatory approvals.

The proceeds from the private placement will be used to advance the Blawn Mountain project and for general corporate purposes.
