Thunder Mountain Gold, Inc. Closes Private Placement Financing
Vancouver, British Columbia and Boise, Idaho (FSCwire) - Thunder Mountain Gold Inc. (the “Company” or “Thunder Mountain”) (TSX-V: THM; OTCQB: THMG) is pleased to announce the closing of a special non-brokered private placement for total proceeds of US$345,000 from the sale of 6,900,000 common shares of stock (the “Private Placement”). The Subscribers to this Financing consisted of Directors, Officers, and existing Shareholders.
The proceeds raised pursuant to the Private Placement Terms will be used for general working capital and maintenance associated with the Management of the South Mountain Mine, including related professional fees and land holding costs.
The Private Placement remains subject to final acceptance of the TSX Venture Exchange. The securities issued in the Private Placement will be subject to a four-month hold period in accordance with the policies of the TSX Venture Exchange and applicable Canadian securities legislation.
The Private Placement was executed on a private placement basis, exempt from prospectus and registration requirements of applicable securities laws. The securities described herein have not been, and will not be, registered under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”), or any state securities laws, and accordingly, may not be offered or sold within the United States or to “U.S. persons”, as such term is defined in Regulation S promulgated under the U.S. Securities Act except in compliance with the registration requirements of the U.S. Securities Act and applicable state securities laws, or pursuant to exemptions therefrom.
