Voyageur to Raise Up to $600,000

CALGARY, Alberta, Dec. 13, 2017 (GLOBE NEWSWIRE) -- Voyageur Minerals Ltd. (TSX-V:VM) (the “Company” or “Voyageur”) is undertaking a non–brokered private placement of up to 8,000,000 units of the Company (“Units”). As part of this financing the investor can choose either Equity Units at $0.075 per unit or Flow-Through Units at $0.10 per unit. (the “Private Placement”).

Each Equity Unit is comprised of one common share in the capital of Voyageur (“Common Share”) and one Common Share purchase warrant (“Warrant”). Each Warrant is exercisable for one Common Share at a price of $0.15 per share for a period of 24 months from the date of closing. The Warrant also contains an acceleration clause where-in if the Common Shares trade $0.20 for 10 days the Company has the right to accelerate the expiration date upon 30 days’ notice to the holders.

Each Flow-Through Unit is comprised of one Common Share and ½ Common Share purchase warrant (“Warrant”). Each whole Warrant is exercisable for one Common Share at a price of $0.15 per share for a period of 24 months from the date of closing. The Warrant also contains an acceleration clause where-in if the Common Shares trade $0.20 for 10 days the Company has the right to accelerate the expiration date upon 30 days’ notice to the holders. The subscription price of $0.10 per unit will be renounced as flow through expense.

The Company will pay commissions of 8% cash and 8% broker warrants to arm's-length dealers in the connection with this Private Placement. Net proceeds from the Private Placement will be used to meet the Company’s commitments under its work program and for general working capital purposes.

The securities issued pursuant to the Private Placement will be subject to a four month hold period expiring four (4) months from the closing date.
