Vancouver, June 28, 2022 - CAVU Energy Metals Corp. (CSE: CAVU) (OTCQB: CAVVF) (FSE: 5EO) ("CAVU" or the "Company") announces that it has closed the first tranche of a non-brokered private placement previously announced on June 22, 2022 (the "Private Placement") and has issued 1,696,666 flow-through units ("FT Units") at a price of $0.30 per FT Unit for gross proceeds of $508,999.
Each FT Unit consists of one Common Share, issued on a flow-through basis pursuant the Income Tax Act (Canada), and one half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will be exercisable at $0.50 per share for a period of two years from the date of issuance. All securities issued under the Private Placement will be subject to a four-month and one-day statutory hold period.
The gross proceeds from the Private Placement will be used for Canadian Exploration Expenses, and will qualify as "flow-through mining expenditures," as defined in the Income Tax Act (Canada). Finder's fees of $27,265.02 were paid and 87,965 finder warrants were issued to eligible finders in connection with the closing of the first tranche of the Private Placement. As such, this participation constitutes a "related party transaction" as defined under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions ("MI 61-101"). Such participation is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as neither the fair market value of the FT Units acquired by the insiders nor the consideration for the FT Units paid by such insiders, exceed 25% of the Company's market capitalization.
