Upper Canyon Minerals Corp. Announces Share Consolidation

Vancouver, B.C., October 27, 2011 - Upper Canyon Minerals Corp. ("UCM" or the "Company") (TSX VENTURE: UCM) announces that effective as of the opening Friday, October 28, 2011, the consolidated common shares of the Company, will commence trading on the TSX Venture Exchange (the "Exchange"), on the basis of one (1) post-consolidated common share for every five (5) pre-consolidated common shares held (the "Consolidation").
The consolidation was approved by the shareholders at the Company's adjourned Annual General and Special Meeting held on October 11, 2011 (the "Meeting") (see the Company's news release October 11, 2011) and by the Exchange. At current date, the Company has 73,686,934 common shares issued and outstanding and the Company will have approximately 14,737,387 common shares issued and outstanding post-consolidation.
The Company's new CUSIP number is 915600209 and new ISIN number is CA9156002094.
A Letter of Transmittal with respect to the Consolidation will be mailed to the shareholders of the Company.
All shareholders will be required to send their respective certificates representing the pre-consolidated common shares along with a properly completed Letter of Transmittal to the Company's transfer agent, Computershare Trust Company of Canada ("Computershare"), in Toronto, Ontario, all in accordance with the instructions provided in the Letter of Transmittal. Additional copies of the Letter of Transmittal can be obtained through Computershare (Shareholder Services 1-800-564-6253 or by e-mail to corporateactions@computershare.com). All shareholders who submit a duly completed Letter of Transmittal along with their respective pre-consolidated common share certificate(s) to Computershare, will receive a post -consolidated common share certificate.
