Coventry Resources Inc.: Voluntary Delisting From the TSX Venture Exchange

Trading to Continue on the Australian Securities Exchange

VANCOUVER, BRITISH COLUMBIA--(Marketwired - Dec 10, 2014) - Coventry Resources Inc. (TSX VENTURE:CYY)(ASX:CYY) ("the Company") advises that it has received notice from the TSX Venture Exchange ("the TSX-V") that the Company's securities will be delisted from the TSX-V on December 23, 2014 and therefore will no longer be traded on the TSX-V after that date. Following delisting from the TSX-V, the Company's shares will continue to trade on the ASX under the code "CYY" in the form of Chess Depository Instruments (CDI's).

This follows the Company's announcement on November 5, 2014 that it had applied to voluntarily delist from the TSX-V due to the following factors:

  • the need to reduce the administrative burden and costs associated with a dual listing;

  • the ASX being a more appropriate listing given the Company's current capital structure, size and stage of development; and

  • the Company's executive management team being based in Australia, and the majority of shareholders either registered on the Australian share register and/or residing in Australia.

Implications for holders on the Company's Canadian register

In order to trade their shares on the ASX, shareholders on the Company's Canadian register will need to transfer their holdings to the Company's Australian register by completing and submitting the "Register Removal request - Canada to Australia CDIs" request form. The applicable form can be obtained from the Company's Canadian share registry, Computershare Investor Services Inc. ("Computershare") by either:

  1. downloading a form at: https://www-us.computershare.com/Investor/help/PrintableForms;

or

  1. contacting Computershare's Global Transaction Unit on:
  • Canada (toll free) at 866-277-2086;
  • US (toll free) at 877-624-5999; or
  • International 1-781-575-4086

For shareholders who hold their shares through a broker or other intermediary which is a CDS participant, the CDS participant/broker must complete and submit the "CDI Issuance Form", or submit the CDI Issuance Instructions through xSettle on the shareholders behalf.

Until a transfer to the Australian register is effected, shareholders on the Company's Canadian register and beneficial shareholders holding their securities through a CDS participant broker will not be able to trade their shares on the ASX and their holdings will remain on the Canadian share register.
